Welcome to NetCount (“Platform”), a smart bookkeeping software developed and operated by NetCount, a business technology solution powered by GSC Inc. By accessing, registering for, or using the Platform, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use the Platform.

Description of Services
NetCount is a cloud-based bookkeeping and financial management platform designed to assist businesses, professionals, and organizations in managing their financial records. The Platform provides the following features:
- Sales Tracking
- Expense Tracking
- Automated VAT and Tax Computation
- Dashboard and Analytics
- Multi-Branch Management
- Client Portal Access
- File Attachments and Document Storage
- User and Permission Control
- Mobile Application Access
NetCount provides tools for recordkeeping and financial monitoring. It does not provide legal, tax, accounting, or financial advisory services unless otherwise expressly stated in writing.
Eligibility
The Platform may be used by the following individuals and entities:
- Individual Users
- Business Owners
- Corporations
- Accountants and Bookkeepers
- Employees with authorized access
- Consultants
- Authorized Representatives of Business Entities
Users must be at least eighteen (18) years of age or possess legal authority to enter into binding agreements on behalf of a business or organization.
Account Registration
To access the Platform, users must create an account by providing accurate, complete, and current information. By registering, users agree to:
- Provide truthful and regularly updated registration information.
- Maintain the confidentiality of their login credentials.
- Accept full responsibility for all activities conducted under their account.
- Immediately notify NetCount of any unauthorized access or suspected security breach.
NetCount may permit multiple authorized users to access a single business account, subject to permission levels assigned by the account owner or administrator.
Subscription Plans and Payment
5.1 Free Trial
New users are entitled to a seven (7) day free trial with access to eligible Platform features. No payment is required during this trial period unless otherwise stated in a promotional offer. Users are encouraged to fully evaluate the Platform before committing to a paid subscription.
5.2 Paid Subscription
Upon expiration of the free trial period, continued access to the Platform requires an active paid subscription.
Basic Plan: ₱1,999 per month — Full access to all core platform features.
5.3 Promotional Rebates and Referral Incentives
NetCount may offer promotional rebates and referral programs from time to time, including:
- 100% subscription rebate for the first three (3) months, subject to promotional terms and eligibility requirements.
- Referral rebates for qualified user referrals.
Promotional offers are subject to modification, suspension, or discontinuation at NetCount’s sole discretion. Rebates cannot be converted to cash unless expressly stated otherwise.
5.4 Billing
By subscribing, users authorize NetCount and its designated payment providers to charge subscription fees to the selected payment method. Subscription fees are billed in advance and are non-transferable. Failure to settle outstanding fees may result in account suspension or termination.
User Responsibilities
Users are solely responsible for the accuracy, completeness, and legality of all information uploaded, entered, or stored through the Platform. Specifically, users agree to:
- Provide accurate and current business and financial information.
- Maintain updated contact and account details.
- Upload only lawful, accurate, and properly authorized records.
- Comply with all applicable Philippine laws, regulations, and tax requirements.
- Retain all supporting documentation as required by law.
Data Privacy and Security
NetCount collects and processes personal information, financial records, and business documents as necessary to deliver its services. All personal data is processed in accordance with:
- Republic Act No. 10173 (Data Privacy Act of 2012)
- Applicable rules and issuances of the National Privacy Commission (NPC)
- NetCount’s Privacy Policy, which forms an integral part of these Terms
While NetCount employs reasonable security measures to protect user data, no electronic system can guarantee absolute security. Users acknowledge and accept the inherent risks associated with online data transmission and cloud storage.
Intellectual Property Rights
All intellectual property rights in and to the Platform remain the exclusive property of NetCount and/or GSC Inc., including but not limited to:
- Software and source code
- Databases and data structures
- Logos, trademarks, and branding materials
- User interface and design elements
- Platform-generated reports and outputs
- All documentation and content
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for legitimate business purposes. Users shall not copy, reverse engineer, modify, distribute, resell, reproduce, or create derivative works from the Platform or its contents without prior written authorization from NetCount.
Third-Party Services
The Platform may integrate with or rely on third-party service providers, including banks, payment gateways, government systems, cloud storage providers, and email service platforms. NetCount does not control and assumes no responsibility for the availability, performance, accuracy, or actions of such third-party services. Use of third-party services may be subject to the separate terms and conditions of those providers.
Confidentiality
Both NetCount and its users agree to maintain the confidentiality of proprietary, financial, and business information accessed through the Platform. Users shall not share account credentials, grant unauthorized access, or disclose confidential information obtained from other Platform users. Confidentiality obligations shall survive the termination or expiration of a user’s account.
Limitation of Liability
NetCount provides bookkeeping and financial management tools based on information supplied by users. Accordingly:
- NetCount is not responsible for inaccurate, incomplete, or misleading information entered by users.
- NetCount does not warrant the accuracy of reports generated from erroneous user inputs.
- NetCount is not liable for tax deficiencies, penalties, fines, business losses, lost profits, or damages arising from decisions made based on Platform-generated information.
- NetCount shall not be liable for indirect, incidental, consequential, special, or exemplary damages.
To the fullest extent permitted by applicable law, NetCount’s total cumulative liability to any user shall not exceed the total subscription fees actually paid by that user during the three (3) months immediately preceding the event giving rise to the claim.
Suspension and Termination
NetCount reserves the right to suspend, restrict, or terminate a user’s access to the Platform, with or without prior notice, if the user:
- Fails to pay subscription fees when due.
- Engages in fraudulent, illegal, or unauthorized activities.
- Violates any provision of these Terms.
- Misuses or abuses the Platform or its features.
- Attempts unauthorized access to systems, accounts, or data.
Users may cancel their subscription at any time. Cancellation will prevent future billing but will not entitle the user to a refund for the current billing period. Termination does not relieve users of any outstanding financial obligations.
Electronic Communications
By using the Platform, users consent to receive notices, invoices, updates, and legal disclosures electronically via email, in-app notifications, SMS, or website announcements. Electronic communications shall satisfy all legal requirements for written notice. Digital acceptance of these Terms shall be legally binding and enforceable.
Service Availability
NetCount strives to maintain continuous and uninterrupted service availability. However, NetCount does not warrant that the Platform will be available at all times or free from errors or interruptions. Scheduled maintenance, system upgrades, internet disruptions, and other unforeseen technical issues may temporarily affect service availability. NetCount will endeavor to provide advance notice of planned maintenance where practicable.
Amendments to Terms
NetCount reserves the right to amend, update, or modify these Terms at any time. Material changes will be communicated to users through the Platform, via email, or through official website announcements at least seven (7) days prior to taking effect, where reasonably practicable. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the proper courts of Antipolo City, Rizal, Philippines.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
